IMPORTANT: PLEASE READ THESE TERMS CAREFULLY
These Terms of Use contain an arbitration agreement and class action waiver that affect your legal rights. By using our Service, you agree to resolve disputes through binding individual arbitration and waive your right to participate in class actions. See Section 15 for details.
1. Acceptance of Terms
Welcome to Cited. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cited LLC ("Cited," "we," "us," or "our"), a Wyoming limited liability company, governing your access to and use of the Cited platform, including our website at cited.so, our application at app.cited.so, our API at api.cited.so, and all related services, features, content, and functionality (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and policies referenced herein.
If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of the modified Terms.
2. Definitions
For purposes of these Terms, the following definitions apply:
- "Service" refers to the Cited platform, including all features, tools, APIs, and functionalities provided through cited.so, app.cited.so, and api.cited.so.
- "User" refers to any individual or entity that accesses or uses the Service, including account holders and authorized users.
- "Content" refers to all text, articles, images, data, information, and other materials generated, created, or processed through the Service.
- "User Contribution" refers to any content, data, or information you provide to the Service, including website URLs, business descriptions, keywords, and configuration settings.
- "Content Engine" refers to our AI-powered content generation system that creates articles and written content.
- "Opportunity Finder" refers to our keyword research and content opportunity identification tools.
- "Authority Network" refers to our network of third-party websites where backlinks to your content may be placed.
- "Auto Publish" refers to our integration features that automatically publish content to connected platforms.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable laws
- Provide accurate and complete registration information
If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.
4. Account Registration
To access certain features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities under your account
- Immediately notify us of any unauthorized use of your account
You may only maintain one account per individual or business entity. Creating multiple accounts to circumvent usage limits or restrictions is prohibited and may result in termination of all associated accounts.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.
5. Service Description
Cited provides an AI-powered content platform designed to help businesses create authoritative content. Our Service includes:
5.1 Content Engine
Our AI-powered content generation system creates articles, blog posts, and written content based on your specifications. Content is generated using third-party AI models and is provided for your use subject to these Terms. You are responsible for reviewing, editing, and verifying all generated content before publication.
5.2 Opportunity Finder
Our keyword research and content opportunity tools analyze search data to identify potential content topics. Data is sourced from third-party providers and is provided for informational purposes. Search volumes, competition metrics, and other data are estimates and may not reflect actual search behavior.
5.3 Authority Network
Our Authority Network places backlinks to your content on third-party websites. Please review Section 9 carefully for important terms, disclaimers, and acknowledgments related to this feature.
5.4 Auto Publish
Our integration features allow automatic publishing of content to connected platforms including WordPress, Webflow, and custom webhooks. You are responsible for configuring integrations correctly and ensuring compatibility with your publishing platforms.
5.5 Service Availability
We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
6. Subscription & Billing
6.1 Subscription Plans
Access to the Service requires a paid subscription. Current pricing and plan details are available at cited.so/pricing. Prices are subject to change with notice to existing subscribers.
6.2 Payment Processing
Payments are processed through Stripe, Inc. By subscribing, you agree to Stripe's terms of service. We do not store your complete payment card information on our servers.
6.3 Billing Cycle
Subscriptions are billed monthly in advance. Your subscription will automatically renew at the end of each billing period unless canceled before the renewal date.
6.4 Refund Policy
First-time subscribers only: If you are not satisfied with the Service, you may request a full refund within 7 days of your initial subscription purchase. This refund policy applies only to first-time subscribers and may only be used once. Refund requests should be sent to support@cited.so.
After the 7-day period, or for returning subscribers, all fees are non-refundable. No refunds will be provided for partial months, unused features, or content already generated.
6.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until your subscription expires.
7. License Grant
Subject to your compliance with these Terms, Cited grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
This license does not include the right to:
- Sublicense, resell, or redistribute the Service to third parties
- Modify, adapt, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to build a competing product or service
- Remove, alter, or obscure any proprietary notices
We reserve all rights not expressly granted in these Terms.
8. User Content & Contributions
8.1 Your Content
You retain ownership of all User Contributions you provide to the Service. By providing User Contributions, you grant Cited a worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Contributions solely as necessary to provide the Service.
8.2 Generated Content
Subject to your compliance with these Terms and payment of applicable fees, you own the content generated for you through the Service. You are responsible for ensuring your use of generated content complies with applicable laws and does not infringe third-party rights.
8.3 Prohibited Content
You agree not to use the Service to create, publish, or distribute content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Infringes any patent, trademark, copyright, or other proprietary rights
- Contains malware, viruses, or other harmful code
- Promotes illegal activities or violence
- Contains false, misleading, or deceptive information
- Impersonates any person or entity
- Violates any applicable law or regulation
10. Acceptable Use Policy
You agree not to engage in any of the following prohibited activities:
- Violating any applicable law, regulation, or third-party rights
- Accessing accounts or data belonging to other users without authorization
- Attempting to probe, scan, or test the vulnerability of the Service
- Interfering with or disrupting the Service or servers
- Using automated scripts, bots, or scraping tools except through our official API
- Circumventing usage limits, rate limits, or access restrictions
- Impersonating Cited, our employees, or other users
- Sending unsolicited communications or spam using the Service
- Using the Service for any fraudulent or deceptive purpose
- Reselling, renting, or leasing access to the Service
- Creating content designed to manipulate or deceive users or search engines
- Using the Service in any manner that could damage, disable, or impair the Service
11. Intellectual Property
The Service, including its original content, features, functionality, and underlying technology, is owned by Cited LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
The Cited name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Cited LLC. You may not use such marks without our prior written permission.
Nothing in these Terms grants you any right to use the Cited name, trademarks, logos, domain names, or other distinctive brand features except as expressly permitted.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, CITED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CITED DOES NOT WARRANT THAT:
- THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
- THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE
- ANY ERRORS IN THE SERVICE WILL BE CORRECTED
- USE OF THE SERVICE WILL RESULT IN ANY SPECIFIC BUSINESS OUTCOMES, INCLUDING BUT NOT LIMITED TO INCREASED TRAFFIC, IMPROVED RANKINGS, OR REVENUE
ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SERVICE IS OBTAINED AT YOUR OWN DISCRETION AND RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
CITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, OR BUSINESS
- LOSS OF DATA OR CONTENT
- LOSS OF GOODWILL OR REPUTATION
- COST OF SUBSTITUTE SERVICES
- ANY DAMAGES ARISING FROM SEARCH ENGINE ALGORITHM CHANGES OR PENALTIES
IN NO EVENT SHALL CITED'S TOTAL LIABILITY EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO CITED IN THE 12 MONTHS PRECEDING THE CLAIM, OR
- ONE HUNDRED DOLLARS ($100)
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF CITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to indemnify, defend, and hold harmless Cited LLC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your User Contributions or content published using the Service
- Any claim that your use of the Service caused damage to a third party
- Your use of the Authority Network feature
15. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS
This section contains an arbitration agreement and class action waiver. By agreeing to these Terms, you agree to resolve most disputes through binding arbitration rather than in court, and you waive your right to participate in class action lawsuits.
15.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at support@cited.so and attempt to resolve the dispute informally. Most disputes can be resolved this way. We will attempt to resolve your dispute within 30 days.
15.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.
The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
15.3 Class Action Waiver
YOU AND CITED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Unless both you and Cited agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
15.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
16. Termination
16.1 Termination by You
You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at support@cited.so.
16.2 Termination by Cited
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms
- Non-payment of fees
- Conduct that may harm Cited, other users, or third parties
- Extended periods of inactivity
- Legal or regulatory requirements
16.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated data, subject to our data retention policies. Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cited regarding the Service and supersede all prior agreements, understandings, and communications.
18.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Cited's failure to assert any right or provision shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Cited may assign these Terms without restriction.
18.5 Notices
We may provide notices to you via email to the address associated with your account or by posting on the Service. You should ensure your contact information is current.
18.6 Force Majeure
Cited shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet service provider failures.
